Is ROBS legal?
Yes. ROBS has been available for decades under the Employee Retirement Income Security Act (ERISA) and relevant sections of the Internal Revenue Code. It is an IRS-acknowledged method of using retirement funds to invest in Qualified Employer Securities of a C Corporation you actively work in.
How much do I need in retirement funds?
There is no hard legal minimum, but ROBS is generally most effective with $50,000 or more in eligible, rollable retirement accounts. Larger balances give the business a stronger capital base from day one.
Does the business have to be a C Corporation?
Yes. Only C Corporations can issue Qualified Employer Securities. Many clients form the C Corp as the parent and operate day-to-day through an LLC subsidiary. Guidant structures this correctly from the start.
Do I have to work in the business?
Yes. You must be a bona fide employee of the C Corporation (typically working the equivalent of at least 1,000 hours per year). Passive investment or buying a business for someone else to run is not permitted under ROBS rules.
How long does the process take?
Once you decide to move forward and provide required information, many ROBS transactions are completed in as little as three weeks. Timing depends on how quickly documents are returned and the complexity of the rollover.
Can I still take a salary and contribute to the new 401(k)?
Absolutely — and it’s encouraged. Paying yourself a reasonable salary allows you (and eligible employees) to make elective deferrals into the new plan. 2026 employee deferral limit is $24,500, plus an $8,000 catch-up if you are age 50+.
