Key-Man Risk Mitigation

If the company needs you,
the buyer will too.

Key-man risk is the reason price moves into an earnout or a long stay. We move the customers, the decisions, and the operating knowledge onto a team that already runs them, then prove it with an absence you can point to.

Named second layer
Customers not only yours
An absence on the record
HOW BUYERS PRICE IT

They do not buy the stay. They structure around it.

If the largest customers are yours, part of the price often becomes an earnout or a holdback. If decisions wait on you, the buyer asks for a longer employment or consulting term. If the knowledge is only in your head, diligence gets deeper and the price gets easier to reopen. A license only you hold is the same problem with a regulator attached.

The fix is people with authority, not a new title. SOPs write the step. This page puts a person on it. Retention of that person is the next page. We will not quote a multiple from an org chart.

A TEAM

Two or more people who already decide, spend inside a limit, and own customer relationships the buyer can meet without you in the room.

STILL YOU

A manager who checks every quote. A salesperson who hands you the close. A week that stalls when you are on a job.

The practical test is time away. If revenue, delivery, or the close would slip while you were gone for a quarter, a buyer will price that in. Shorter proof still counts if it is real.

THE HANDOFF

Six moves that take you out of the operating path.

Name the second layer

Sales, delivery, and the weekly numbers. Not a chart. A person. If the company is too small for three managers, one operator with written limits is the team. Pretending otherwise does not help the buyer.

Write the authority

What they decide alone. What they can spend. What still comes to you. A buyer reads this to see whether “manager” means manager.

Move the customers

The largest accounts get a second name on the relationship before the teaser. Introductions happen while you are still there. A buyer who can only meet the customer through you will tie price to you.

Share the close and the cash

Estimates, approvals, and the weekly report cannot have a single login. A second admin on the books and the bank, with a limit, is part of the handoff. Access sitting only with you is key-man risk in a password.

Licenses and the one skill

If a credential, a relationship, or a trade only you hold is required to operate, name it. Cross-train or hire the backup before a buyer has to solve it as a closing condition.

Leave, on purpose

A week, then longer. No shadow decisions by text. What broke gets fixed or disclosed. That record is what a buyer can underwrite.

What the buyer should be able to see

Three artifacts. No narrative about how involved you used to be.

Authority

A one-page matrix

Role, decision, dollar limit, backup. The owner is not the backup for every row.

Relationships

A customer map

Top accounts, who owns them now, and the date of the introduction that did not require you to translate.

Proof

The absence note

Dates you were out, what ran, what slipped. Honest slips are better than a claim that nothing ever waits on you.

What we will not stage

A leadership team that exists on a slide and still calls you for the quote.
A promise that removing you raises the multiple. It removes a reason to hold price back. The buyer still decides.
Retention deals for people who do not yet hold the work. That is the next page, after the authority is real.

Questions owners ask first

What is key-man risk in a sale?
The business depends on one person for customers, decisions, or a license the company cannot replace. Buyers price that as an earnout, a longer stay, or a lower offer. The mitigation is a named team that already holds the work.
Is a manager title enough?
No. The person needs written authority: what they decide alone, what they can spend, and which customers they own. A title with every decision still coming to you is not a leadership team.
How do you prove the owner is not required?
A real absence. Weeks, then a quarter if the timeline allows, where revenue, delivery, and the weekly close happen without you in the thread. A vacation the team survived is evidence. A promise is not.
How is this different from SOPs?
SOPs write the step. This puts a person on the step, with authority and a customer relationship that is no longer only yours. Paper without a named owner still ends with you.

Name who runs the week when you are not there.

Tell us which decisions and customers still sit with you. A member of our team will map the handoff a buyer can check.
