Corporate Culture & Retention

The buyer is purchasing
the people who stay.

A sale rumor moves faster than a bonus. We name who must remain, put a reason in front of them before the offer leaks, and show a buyer a culture that does not collapse when you are no longer the reason people came.

A short critical list
Stay, not a surprise
Culture a buyer can observe
WHAT LEAVES WITH THEM

A bonus after close is late.

Buyers treat a stable team as part of what they are buying. People who leave in diligence or the first year take customers, routes, and the reason an earnout was supposed to pay. Companies that keep staff through a sale usually named who they wanted, and started the conversation during the process, not after the wire.

Key-man work moved the decisions off you. This page keeps the people who now hold them. Culture is not a poster. It is whether those people stay when you are no longer the reason they showed up. We do not draft the agreement or give tax advice. Counsel does.

ON THE LIST

Knowledge that is not written down. A customer or route they own. A skill the company cannot replace this quarter. Someone a competitor would call the week the rumor starts.

NOT THE LIST

Every employee, to be fair. A retention pool with no names is a cost. A buyer wants the few people whose exit changes the business.

Money is the common tool. It is not the only one. The people who stay also heard it from a person they trust, with a role that still exists after you leave.

THE PLAN

Six things a buyer can underwrite.

The critical list

A handful of names, not a department. Why each one matters, and what breaks if they leave in month one. The buyer will edit the list. Build it before they have to invent it.

A stay that is earned

A payment tied to remaining through close and for a defined period after, often split so part is earned by staying. The amount follows how hard they are to replace, not a template. Tax treatment is counsel’s work.

A role after you

Title, reports, and what they still decide. People leave when the only story is “the new owner will figure it out.” A role they can picture is part of the incentive.

Who tells them

The rumor will arrive first if you wait. A direct conversation from someone they trust, timed so it does not broadcast the sale, beats a letter at closing.

Culture you can point at

How a complaint is handled. Who covers a route. Whether people stay when you are out. Tenure of the critical names. A values page is not evidence. A year of the same leads still here is.

What the buyer funds

Some stay payments come from sale proceeds. Some the buyer wants to structure. We do not promise who writes the check. We put the list and the logic in the file so that argument happens before close.

Order of work

Name them. Give them a reason. Do not announce the company.

01

List before market

Who stops the business if they walk. Cross-check against the people who already hold decisions from the key-man work.

02

Shape the stay

Window, split, and the role after close. Counsel drafts. We do not invent the tax answer.

03

Tell the right people

A conversation, not a leak. The rest of the company hears a plan when there is one, not a rumor.

What we will not do

Bonus the whole roster to look generous. Buyers pay for the names that change the deal.
Draft stay agreements or promise a tax result. That is counsel.
Call a slogan a culture. If the leads only stay because of you, that is the finding.

Questions owners ask first

Who belongs on the retention list?
People whose departure would stop delivery, take a material customer, or leave a skill the company cannot replace. Not the whole staff. A short list a buyer can agree with.
When should this be discussed?
The list is built before the company is widely in market. The formal agreement is usually timed with the buyer, often near close, so the rumor does not outrun the offer. Waiting until after close is how people leave during the handoff.
What does a stay arrangement look like?
A payment tied to remaining through close and for a defined period after, often split so part is earned by staying. Amounts depend on how hard the person is to replace. Counsel and tax advice sit outside this page.
How is this different from key-man risk?
Key-man work moves the decisions and customers off the owner. Retention keeps the people who now hold that work. Culture is whether those people stay when the owner is no longer the reason they came.

Name who has to still be here after you leave.

Tell us who holds the routes, the accounts, or the skill. A member of our team will build the list before a buyer has to.
